Terms
The terms on which Apps 365 Ltd provides the usagepoint.ai website and licenses UsagePoint to organisations.
Last updated: 27 October 2026
1. About these terms
These terms form an agreement between Apps 365 Ltd, a company registered in England and Wales with number 13955007 whose office is at 20-22 Wenlock Road, London N1 7GU, United Kingdom ("we", "us"), and the organisation that uses this website or licenses UsagePoint ("you"). UsagePoint is for businesses and other organisations, not consumers. If you accept these terms for an organisation, you confirm you have authority to bind it.
Where you and we have signed a separate agreement or order form for UsagePoint, it takes precedence over these terms where they conflict.
2. Definitions
- UsagePoint or the Product: our SharePoint Framework web part for Microsoft 365 Copilot seat and adoption reporting, with its Power Automate flow templates, updates and documentation.
- Order: a quote, order form or invoice that sets out the seat band, scope, term and fees you have chosen.
- Seat band: the range of Microsoft 365 Copilot licences in your tenant that your licence covers.
- Your Environment: your Microsoft 365 tenant, SharePoint Online sites and Power Platform environment in which the Product runs.
- Your Data: any data in Your Environment that the Product reads, creates or stores.
3. The product
UsagePoint runs as a web part in Your Environment, with the signed-in person's own permissions. It reads Microsoft's Copilot usage reports, licence and directory data through Microsoft Graph, prices seats using the figures you enter, and stores snapshots, settings and an action queue in SharePoint lists on your site. Licence changes are made only by Power Automate flows that you import, own and run in Your Environment, after a person in your organisation approves them. We provide it with reasonable skill and care. We do not promise that it will be uninterrupted or free of errors, or that it will meet every requirement you have.
4. Your licence
Subject to these terms, your Order and payment of the fees, we grant you a non-exclusive, non-transferable licence to install and use the Product within the seat band, scope and term in your Order, for your internal business purposes. Microsoft 365 partners and managed service providers may use it for their clients where their Order or a partner agreement allows.
You must not, except as the law allows: copy, resell, rent or sublicense the Product; reverse engineer, decompile or try to derive its source code; work around its licence checks; remove our notices; or use it to build a competing product.
5. Your responsibilities
- You are responsible for Your Environment, its Microsoft licences and settings, the permissions you approve, and the accounts of the people who use the Product.
- You decide whether to report on individual people's Copilot use. You are responsible for telling your staff, for your privacy notice, for any data protection impact assessment, and for having a lawful basis to use their data.
- You are responsible for reviewing every licence change before it is approved, and for the flows you import and run. Removing or reassigning a licence changes Your Environment.
- You must use the Product lawfully and in line with Microsoft's terms and your own policies.
6. Figures and estimates
Costs and savings shown by the Product are estimates based on Microsoft's reports, which may be delayed or change, and on the prices and dates you enter. They are not invoices, and they are not advice on your Microsoft agreement. You remain responsible for decisions about your licences and renewals.
7. Fees and renewal
Fees are set out in your Order, in pounds sterling and excluding VAT, which you pay in addition where it applies. Unless your Order says otherwise, fees are payable in advance and within 30 days of invoice, and are not refundable except where the law requires.
Licences run for twelve months from the date your licence key is issued. Unless your Order says otherwise, they renew only when you place a renewal Order; we will remind you before your licence ends. We may change our prices for a new term by telling you in advance.
8. Early access, free snapshot and trials
We may offer early access, demonstrations, a free snapshot, trials or not-for-resale licences. They may be limited in time or features and we may change or end them at any time. Joining early access does not commit you to buy. No fees are due for them unless you choose to buy. Sections 13 and 14 apply to them.
9. The daily check-in
Once a day per site, unless a site administrator switches it off, the Product sends us a small check-in about the installation, as described in our privacy notice. It contains no usage data. A site administrator can switch it off. Licence checks never depend on it.
10. Intellectual property
We and our licensors own all intellectual property in the Product, this website and the UsagePoint name and mark. These terms give you only the licence in section 4. You own Your Data and the records the Product creates in Your Environment. We may use feedback you choose to give us to improve our products.
11. Data protection
The Product runs in Your Environment and stores Your Data there. We do not host or receive Your Data, and you are the controller of it. Our use of personal data through this website, the check-in and our customer records is described in our privacy notice. If you ask us to look at Your Data while supporting you, for example in a shared screen session, we will use it only for that purpose and keep it confidential.
12. Microsoft and third parties
The Product depends on Microsoft 365, SharePoint Online, Microsoft Graph and Power Automate, which Microsoft provides under its own terms. Some features need Microsoft licences of your own, such as Power Automate premium for the reclaim flow or Entra ID P1 or P2 for sign-in dates. We are not responsible for Microsoft's services, or for changes Microsoft makes to its reports, prices or rules that affect how the Product works, but we will make reasonable efforts to keep the Product working with them during your licence term.
13. Warranties
Apart from the commitments in these terms, the Product, early access, the free snapshot and this website are provided "as is", and we exclude all other warranties to the extent the law allows. The Product helps you manage Copilot licences. It does not by itself make you compliant with any law, regulation or standard.
14. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that, we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability arising from these terms or the Product in any twelve months is limited to the greater of the fees you paid us for the Product in the previous twelve months and £100.
15. Confidentiality
Each of us will keep the other's confidential information confidential and use it only for the purposes of these terms, except where the law requires otherwise.
16. Term and termination
Your licence lasts for the term in your Order. Either of us may end it straight away by notice if the other seriously breaches these terms and does not put it right within 30 days of being asked, or becomes insolvent. When your licence ends you must stop using the paid features. The records the Product created in Your Environment remain yours.
17. Changes
We may update these terms, for example when the Product or the law changes. The version at the start of your licence term applies to that term.
18. General
These terms and your Order are the whole agreement between us about the Product. If any part is found unenforceable, the rest still applies. A failure to enforce a right is not a waiver of it. Neither of us is liable for delays caused by events beyond our reasonable control. Nobody other than you and us has rights under these terms.
19. Governing law
These terms and any dispute about them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Questions about these terms: info@apps365ltd.com.
